Joy City Property Limited, a HK$ 16.8 bln property developer, has been aggressively acquiring the real estate business from its parent COFCO Group in China.However, the stock has more than halved from its peak in the last year and is now trading at levels last seen in May 2012.While all the connected person deals are said to have been done at an arm's length, investors might still have questions about the conflicting interests of most of its directors.In this story we try to understand why six of its non-independent directors didn't step aside from voting on resolutions relating to the acquisitions from the controlling shareholder COFCO Corporation.We also ask why it preferred to buy totally unrelated business of a fellow subsidiary when it could have simply bought the land parcels that got it interested in that subsidiary.This story also raises questions about the profit that its controlling shareholder might have made while selling the stakes in various fellow companies.Finally, we ask when it earlier raised its stake in a subsidiary as we couldn't spot any announcement about that during the year .
