<p>On Friday after market close, <a href="https://www.smartkarma.com/entities/china-traditional-chinese-medicine" target="_blank" data-smartkarma-citation="entities:351:1" rel="noopener">China Traditional Chinese Medicine (570 HK)</a>/CTCM announced that Sinopharm Hongkong, the controlling shareholder with a 32.46% stake, is currently exploring a proposal to privatise CTCM. The announcement was in response to <a href="https://www.reuters.com/article/us-sinopharm-m-a-china-tcm-exclusive-idUSKBN29W0J5" target="_blank" rel="noopener">a Reuters article</a> on 27 January that Sinopharm is leading a consortium to privatise CTCM. The rumoured privatisation price of HK$5.10 per share is a 26.6% premium to the unaffected price of HK$4.03 per share (26 January) and an 18.6% premium to the last close of HK$4.30 per share (27 January prior to the trading halt). </p><div class="content-highlight"><p>We believe that the privatisation will be likely done through a scheme of arrangement. As a Hong Kong incorporated company, the key condition precedent is the scheme approved by at least 75% disinterested shareholders (&lt;10% disinterested shareholders rejection). Overall, we think that at the last close price, the downside risk is low (trading close to break price) with a good probability of upside (announcement of a formal proposal).  </p></div>

Sectorally, shorts increased on Information Technology and Financials, while decreasing on Consumer Discretionary,  Industrials, Consumer Staples and Real Estate.In Korea, there were short positions put on in Samsung Electronics (005930 KS), Hyundai Motor Co (005380 KS), Kakao Corp (035720 KS) and LG Display (034220 KS) while shorts were covered in S Oil Corp (010950 KS), Mirae Asset Daewoo (006800 KS), Hanwha Life Insurance (088350 KS) and Doosan Infracore (042670 KS). Stocks in Taiwan that saw the highest increase in shorts were Pegatron Corp (4938 TT), Foxconn Technology (2354 TT), Yageo Corporation (2327 TT) and Unimicron Technology (3037 TT) while shorts were covered on United Microelectronics Corp (2303 TT), TSMC (2330 TT), Evergreen Marine Corp (2603 TT) and Delta Electronics (2308 TT).

<p><strong><em>*Reversing Course Again:</em></strong> On April 3, 2020, the European Insurance and Occupational Pensions Authority (EIOPA) - the European Union’s financial regulatory body which replaced the Committee of European Insurance and Occupational Pensions Supervisors (CEIOPS) – in the context of the corona virus, released a statement urging insurers to “temporarily suspend all discretionary dividend distributions and share buybacks aimed at remunerating shareholders” in order to preserve capital. In an odd reversal of course, EIOPA has updated its commentary surrounding European insurance capital management; and  </p><p><strong><em>*Asia-Pacific Insurers Still At Risk: </em></strong>Asia-Pacific insurance counterparts previously acted in capital solidarity with their Western peer during COVID-19. Many Asia-Pacific insurers purchased USD-denominated assets in their desperate search for yield in this low/negative rate environment where the impact of credit default and ratings agency downgrades on their investment portfolios is likely to continue to be outsized and challenge capital their ratios. We are hopeful that the Asia-Pacific insurers - particularly in Japan, Australia, Taiwan, and South Korea – don’t behave as desperately as their European counterparts have. </p>
