This is a major event, which is likely to accelerate the reorganization of the entire Samsung Group, the biggest chaebol in Korea. </strong></p></div><p>A big problem among the chaebols is that the Korean government charges one of the highest inheritance taxes among OECD countries, ranging about 50-65%. Inheritance taxes for Lee Kun-Hee will likely be at the high end of this range. The government takes away so much of the hard-earned business ownership in the form of taxes that it is near-mindboggling. </p><div class="content-highlight"><p>Among the Samsung Group companies, we would focus on three major companies where there could be some major shakeups which include <strong>Samsung C&amp;T, Samsung Electronics,</strong> and<strong> Samsung SDS</strong>. Among these three companies, Samsung C&amp;T could see the nearest short-term pop in our view, as it is a central company to the reorganization of the entire Samsung Group. <strong> </strong></p></div>

<p>It was announced in the Korean media yesterday that Hanwha General Chemical (한화종합화학) is getting ready for an IPO in 2021. The listing of Hanwha General Chemical is likely to accelerate the restructuring of the Hanwha Group companies, led by Kim Dong-Kwan, the Vice President of <a href="https://www.smartkarma.com/entities/hanwha-solutions" target="_blank" data-smartkarma-citation="entities:8656:1" rel="noopener">Hanwha Solutions (009830 KS) </a>and the eldest son of the Hanwha Group Chairman Kim Seung-Yeon. The local <a href="https://www.mk.co.kr/news/stock/view/2020/08/870871/" target="_blank" rel="noopener">media</a> have mentioned the value of Hanwha General Chemical to be about 4 trillion won to 5 trillion won. Hanwha General Chemical is likely to be one of the biggest IPOs in Korea in 2021. </p><p><strong>Put option clause of the Samsung Group</strong> - At the time that Samsung Group sold the defense and chemical businesses to the Hanwha Group in 2015, it left a 24.1% ownership stake in Hanwha General Chemical as the acquisition price reached nearly 2 trillion won and there were some significant financial burdens on the Hanwha Group in this deal. As a result, the Samsung Group and Hanwha General Chemical reached an agreement back in 2015 for the latter company to complete its IPO by April 2021, but this could be extended by one year if requested by the Hanwha Group. If Hanwha General Chemical is unable to complete its IPO by April 2022, the Samsung Group has a put option clause to sell its shares to the Hanwha Group at a certain amount.</p><div class="content-highlight"><p>Today, <a href="https://www.smartkarma.com/entities/hanwha-solutions" target="_blank" data-smartkarma-citation="entities:8656:1" rel="noopener">Hanwha Solutions (009830 KS)</a>'s share price is up  8.2% to 34,300 won. We continue to have a positive view on this name and believe the investors will continue to push this stock higher at nearly 1x P/B for 37,000 won per share. The consensus' BPS estimate for the end of 2021 is 40,500 won.
