<p>On 16 February 2017, <a href="https://www.smartkarma.com/entities/9984" target="_blank" data-smartkarma-citation="entities:9984:1">Oue Ltd (OUE SP)</a> made a mandatory unconditional general offer ("MGO") for all the issued ordinary shares in <a href="https://www.smartkarma.com/entities/562" target="_blank" data-smartkarma-citation="entities:562:1">International Healthway Corporation Ltd (IHC SP)</a>. </p><p>The MGO was triggered after OUE entered into an S&amp;P agreement with Ching Chiat Kwong, Low See Ching, Low Bee Lan Audrey and Tee Wee Sien (collectively, the "Vendors") for the purchase of 593.5m shares at SGD 0.106 / share. This Acquisition will be completed by way of married deals.</p><p>Post completion, OUE will hold an aggregate of 995.7m shares of IHC, representing a 57.60% stake.</p><p><em>IHC has been suspended from trading since 14 February 2017 and has yet to resume trading. </em></p>
