GFI offered $2.52/share, cash, plus a variable cash component of ~A$0.88 (now worth ~A$0.77/share) via GOR's indirect stake in Northern Star Resources (NST AU). This includes any fully franked dividend.

The Scheme Booklet is now out, with a shareholder vote on the 22nd September. The IE (Deloitte) says fair &amp; reasonable. It is.

GFI has now bumped the cash terms to $2.52/share or an all-in price of ~A$3.40/share, a 43% premium to undisturbed. This includes a A$0.35/share fully franked dividend (if paid).
Conditions include the standard Scheme vote plus FIRB. 7.5% of shares out are supportive. Implementation is expected in October 2025.

After correcting minor information (on the 4th April) to an Australian Roadshow Investor Presentation, GOR has now retracted details of the underground mining potential at the Gruyere mine.
But don't expect any new developments in this transaction until after De Grey Mining (DEG AU)'s Scheme vote on the 16th April.
