After <a href="https://www.londonstockexchange.com/exchange/news/alliance-news/detail/1530796098973581400.html" target="_blank">confirmation of discussions</a> of the merger back in early July, <a href="https://www.smartkarma.com/entities/23385" target="_blank" data-smartkarma-citation="entities:23385:1">Sinclair Pharma (SPH LN)</a> announced it has entered into an <a href="https://www.sinclairpharma.com/wp/wp-content/uploads/2018/08/Possible_Offer_Announcement-dated_28_August_2018.pdf" target="_blank">Offer Agreement</a> with <a href="https://www.smartkarma.com/entities/18522" target="_blank" data-smartkarma-citation="entities:18522:1">Huadong Medicine Co Ltd A (000963 CH)</a>.
A Possible Offer, should it occur, is expected to be at £0.32/share for all of Sinclair’s issued shares, valuing the company at £161.2mn. Huadong is expected to announce a firm offer on or before 5 October 2018, provided the pre-conditions are satisfied or waived.  Sinclair's Independent Directors are of the view that the Possible Offer is an attractive proposal.
