Star Ferro and Cement Limited has informed the Exchange that the Board of Director of Star Cement Limited (Transferee Company) at their meeting held March 22, 2017 has fixed April 03, 2017 as the 'Record Date' for the purpose of determining the members of the Star Ferro and Cement Limited to whom Equity Shares in Star Cement Limited (Transferee Company) will be issued and allotted in the ratio of 1.33 Equity Shares of Re.1/- each fully paid up for every 1 Equity Share of Re.1/- each fully paid up held in Star Ferro and Cement Limited (Transferor Company).

Scheme Of Arrangement

Star Ferro and Cement Limited has informed the Exchange that With reference to our earlier letter dated February 13, 2017, this is to inform you that the Company has received on February 21, 2017 the certified copy of the order dated February 07, 2017, passed by the Guwahati Bench of the Hon ble National Company Law Tribunal (NCLT) sanctioning the Scheme of Amalgamation of Star Ferro and Cement Limited ( Transferor Company ) with Star Cement Limited ( Transferee Company ). Further, the Company and Star Cement Limited respectively have filed the copy of the aforesaid order vide INC-28 with the Registrar of Companies, Shillong on February 22, 2017. Accordingly, the Scheme of Amalgamation is effective with effect from the Appointed date i.e., April 01, 2016.

Star Ferro and Cement Limited has informed the Exchange that the Hon ble National Company Law Tribunal (NCLT) Guwahati Bench, vide its order dated February 07, 2017 has approved the Scheme of Amalgamation of Star Ferro and Cement Limited ( Transferor Company ) with Star Cement Limited ( Transferee Company ) with effect from Appointed Date i.e. April 01, 2016.
