<li>On the 24 September,  tyre component manufacturer <a href="https://www.smartkarma.com/entities/xingda-international-holdings" target="_blank" data-smartkarma-citation="entities:17836:1" rel="noopener">Xingda International (1899 HK)</a> announced a $1.30/share cash Offer from Liu Jinlan, chairman and executive director. </li>
<li>The Offer is conditional on a 50% acceptance hurdle, and Liu and concert parties hold 37.03%. The Composite Doc is  out. The IFA rightfully concludes the Offer is not fair.

<li>However, the Offer is effectively a pre-emptive strike against former employee Yue Zhao (9.24% shareholder), who was recently appointed ED and vice-chairman of <a href="https://www.smartkarma.com/entities/shougang-concord-century-holdings-ltd" target="_blank" data-smartkarma-citation="entities:5500:1" rel="noopener">Shougang Concord (103 HK)</a>, Xingda's major competitor.</li>

The Offer is conditional on a 50% acceptance hurdle, and Liu and concert parties hold 37.03%. The Composite Doc is  out. The IFA rightfully concludes the Offer is not fair.

<li>The consortium, at the time, held 45%, with the objective to hold &gt;50.01% at the close of the Offer. The final % was <a href="https://www1.hkexnews.hk/listedco/listconews/sehk/2023/0310/2023031000976.pdf" target="_blank" rel="noopener">50.42%</a>. </li>
<li>The consortium was then free to take their stake up to 75%. However the shareholder structure has materially changed in 2024. Xingda is suspended (again) pursuant to the Takeovers Code.</li>

Back on the 7 Dec 2023, Xingda International (1899 HK)  announced a partial Offer from a consortium comprising management at HK$1.88/share.
The consortium, at the time, held 45%, with the objective to hold &gt;50.01% at the close of the Offer. The final % was 50.42%. 
The consortium was then free to take their stake up to 75%. However the shareholder structure has materially changed in 2024. Xingda is suspended (again) pursuant to the Takeovers Code.

Pre-Conditions were satisfied on the 15 December and the Composite Document was dispatched last night.
The first close is the 24 February. Payment under the Offer is expected to be the 21 March.
