Back on the 27 January 2023, Jardine Matheson (JM SP) entered an agreement with Shandong Xinjufeng (301296 CH) (XJF) to sell its 28.22% stake in GAPack (468 HK). 
That sale completed in September.  Last week, XJF requisitioned an EGM to consider appointing five new (&amp; friendly) directors, all-but taking control of the board. 
CEO and founder Jeff Bi holds 9.65%. The question is: what are his options?

<li>GA Pack announced its full-year results late last month and for the first time since 2012, opted not to pay a final dividend.</li>
<li>Shares are down 20% since that non-dividend announcement. That's convenient.</li>

Earlier this year, Jardine Matheson Holdings (JM SP) was understood to be exploring the sale of its 28% stake in Greatview Aseptic Packaging (468 HK).
GA Pack announced its full-year results late last month and for the first time since 2012, opted not to pay a final dividend.

It was hardly a knockout price. However, Mathson had been itching to exit. Even if it involved selling its stake to one of Greatview's competitor. 
Greatview's board is unimpressed, and now reckons Matheson's initial buy-in may be in breach of PRC anti-monopoly laws.

<li>The inflow is reportedly predicated on a reassessment of the 59% stake held in Matheson by the privatised <a href="https://www.smartkarma.com/entities/jardine-strategic-holdings-ltd" target="_blank" data-smartkarma-citation="entities:15081:1" rel="noopener">Jardine Strategic Holdings (JS SP)</a>, that was subsequently cancelled in May 2022.</li>
<li>Elsewhere, Matheson's NAV discount is toward the wide end of its one-year range. </li>
