Only thirteen companies are capitalised at over ¥100 billion, and forty-one have a market value of less than ¥10 billion. Overall, the Sector has declined by 3.6% over one year and by 3.2% over three months - a third quartile performance. In addition to dividends, shareholders are sent coupons that can be redeemed at most of the company's restaurants. Many specialist publications review such programs and offer stock recommendations based on the yutai-yield. As a result, restaurant companies in Japan have some of the highest shareholder counts among listed companies. As coupon-customers normally top-up their spending, this practice helps provide a basic level of cash flow but is a costly exercise to administer. There is nothing I disagree with there. The Colowide model did not appeal to Ootoya management when Colowide approached the firm, so negotiations went nowhere. Colowide made overtures to Ootoya shareholders, proposing that Ootoya become a subsidiary, before the shareholder meeting starting in April, and their proposals got soundly defeated at the AGM at the end of June 2020. Crushed, in fact. In response, Colowide launched a hostile tender offer to go from 19.2% to 51% of shares out. Ootoya's <a href="https://contents.xj-storage.jp/xcontents/AS00928/c8abc4ef/889c/4d35/ac82/8151f88b2ce9/140120200709460175.pdf" target="_blank" rel="noopener">initial response</a> said the Tender Offer was launched without warning, and proposes to make Ootoya a subsidiary despite the fact that it's proposals suffered a resounding defeat just two weeks ago. Ootoya will separately release an official Target Opinion. This is due 10 days from the Colowide announcement. I expect it to declare opposition to this hostile Tender Offer but I do not see what Ootoya can do. Ootoya is being priced expensively here. And that is in the middle of a pandemic which is causing the firm to burn cash. It is not clear who might rescue Ootoya from a buyer who wants to change the entire ethos of the Ootoya brand.  More below the fold, with charts, and of course, Ye Olde Arb Grids.

Colowide – Swimming Naked into the Covid Sea

Sushiro originally listed on the TSE’s 2nd section in 2003 but was bought in a TOB by Unison Capital and its listing was cancelled. Following this, the company was acquired by another fund, Permira Advisors, and was relisted in March 2017, where the relisting ended with the stock breaking its offering price on its first day of trading, closing at JPY3,430. Even now, in October, the stock trades around the JPY3,600 mark which is in line with its offering price. The recently announced merger occurred following the end of the post-listing 180 day lock up period is predicated on the gradually saturating domestic conveyor sushi industry’s operating conditions, potential increases in profitability from a rationalized store network, the acceleration of foreign expansion and greater vertical integration in the sourcing of sushi rice.Based on these strategic needs, both the industry’s number five player, Genki Sushi and number one player Sushiro have agreed to the merger suggested by the leading private rice wholesaler Shinmei, which was also Genki Sushi’s largest shareholder. It is important to bear in mind however, that there have been previous efforts to consolidate the sector and each of these has failed, with Shinmei having been involved in one of these attempts already. Based on the history of the industry it seems likely that further consolidation efforts will be made with Shinmei at the centre and potentially Zennoh (the National Federation of Agricultural Cooperative Associations) also involving itself in an attempt to increase the proportion of direct sales of rice and raise margins for its members.
