<li>Fosun hopes to privatize Henlius at a low price. As usual, it does not consider the interests of long-term investors, who may express their "dissatisfaction" by opposing the privatization.</li>
<li>Lin Lijun clearly has bargaining chips. He may ask Fosun to provide a clear plan for future relisting/asset restructuring, and how the Share Alternative will be linked to this plan.</li>
<li>There is a possibility this privatization may fail. Such possibility is not low, because investors will only support the privatization if they can be sure that their interests are protected.</li>

Fosun hopes to privatize Henlius at a low price. As usual, it does not consider the interests of long-term investors, who may express their "dissatisfaction" by opposing the privatization.

<li>The average premium for the new transactions announced (or first discussed) in June was ~52%. The average premium YTD is ~47%. </li>
<li>This compares to the average premium for transactions in 2023 (117 transactions), 2022 (106), 2021 (165), 2020 (158), and 2019 (145 ) of 39%, 41%, 33%, 31%, and 31% respectively.</li>

<li>The approval/filing process of China TCM’s privatization is complicated and would take some time, but there’re almost no cases of disapproval. It also depends on the adequacy of materials submitted.</li>
<li>Due to the extension of time for the despatch of Scheme Document, this process would be delayed for more months.But we should receive clear information by October at the latest.</li>
<li>For arbitrageurs, China TCM is an investment opportunity of high success rate, which becomes more attractive if HK stock market is depressed.It's better suited to idle funds considering potential risks/returns.</li>
</ul>
