<p>The first sector is <strong>Consumer</strong>, where H/A spreads widened on average 2.7% for the week, more than cancelling out the average 1.7% spread narrowing last week. With the exception of <a href="https://www.smartkarma.com/entities/hisense-home-appliances-group-co-ltd-h" target="_blank" data-smartkarma-citation="entities:20107:1" rel="noopener">Hisense Home Appliances Group Co., Ltd. H (921 HK)</a>, this happened as the H-shares rose strongly and the A-Shares rose even more strongly.  </p>
<p>Southbound investors through the Shenzhen-HK and Shanghai-HK Connect were significant net sellers during the week in both <a href="https://www.smartkarma.com/entities/tsingtao-brewery-co-ltd-h" target="_blank" data-smartkarma-citation="entities:1296:1" rel="noopener">Tsingtao Brewery Co Ltd H (168 HK)</a> and <a href="https://www.smartkarma.com/entities/hisense-home-appliances-group-co-ltd-h" target="_blank" data-smartkarma-citation="entities:20107:1" rel="noopener">Hisense Home Appliances Group Co., Ltd. H (921 HK)</a> where the net selling activity amounted to 15.5% and 22% of volume respectively. </p>
<p>Hisense remains at the overbought end of the 52-week range. <a href="https://www.smartkarma.com/entities/great-wall-motor-co-ltd-cb302af9-398c-4d2d-ba39-023e43287eef" target="_blank" data-smartkarma-citation="entities:128:1" rel="noopener">Great Wall Motor (2333 HK)</a> and <a href="https://www.smartkarma.com/entities/guangzhou-automobile-group-co-ltd" target="_blank" data-smartkarma-citation="entities:11082:1" rel="noopener">Guangzhou Automobile Group (2238 HK)</a> are now at 52-week wides. </p>

<p>Last week's recommendation was to take off Hisense and the H-share fell 7.3% while the spread widened 0.7%. It is still probably worth unwinding. At this point, Great Wall and Guangzhou are worth a buy on a spread basis.</p>

On average,

<p>In the example for the H/A spreads in the <strong>Materials</strong> sector below, spreads were generally flat over the past five days and were wider by 1.5% over the past 20 days. <p>Shanghai Prime Machinery Company, a manufacturer of turbine blades, bearings, fasteners, has announced a pre-conditional privatisation Offer from its parent, SOE-<a href="https://www.smartkarma.com/entities/shanghai-electric-group-company-limited-d542164d-4d5a-4ce0-b33e-5fe6bc34722c" target="_blank" data-smartkarma-citation="entities:8777:1" rel="noopener">Shanghai Electric Group Company (2727 HK)</a> / <a href="https://www.smartkarma.com/entities/shanghai-electric-grp-co-l-a" target="_blank" data-smartkarma-citation="entities:101:1" rel="noopener">Shanghai Electric Group Company (601727 CH)</a>.</p>
<p>The cancellation price is HK$1.60/share, a 68.4% premium to last close. The price will <em>not</em> be increased. </p>
<p>Pre-conditions include PRC regulatory approvals - NDRC, MOFCOM, and SAFE.</p>
<p>As Shanghai Prime is PRC incorporated, this delisting proposal is by way of a merger by absorption, which involves a Scheme-like vote from disinterested shareholders. There is no tendering acceptance condition attached to this delisting.</p>
<p>This is a pretty clean deal. Timing is the only unknown. The Long Stop date is the 3 June 2021, but this should be completed well before. The recent privatisation of <a href="https://www.smartkarma.com/entities/huadian-fuxin-energy-corp-ltd" target="_blank" data-smartkarma-citation="entities:59:1" rel="noopener">Huadian Fuxin Energy Corp (816 HK)</a>, also a pre-conditional merger by absorption, was wrapped up in four and a half months.</p>

Gcl Poly Energy Holdings Limited / Event-Driven

<p>Back in early June, I discussed in <em><a href="https://skr.ma/Tqbk7" target="_blank" rel="noopener">StubWorld: New Interest In GCL's New Energy</a></em> that <a href="https://www.smartkarma.com/entities/gcl-poly-energy-holdings-limited" target="_blank" data-smartkarma-citation="entities:3708:1" rel="noopener">Gcl Poly Energy Holdings Limited (3800 HK)</a>, the 62.28% shareholder of <a href="https://www.smartkarma.com/entities/gcl-new-energy-holdings-ltd" target="_blank" data-smartkarma-citation="entities:19717:1" rel="noopener">Gcl New Energy Holdings (451 HK)</a>, had entered into a <a href="http://www3.hkexnews.hk/listedco/listconews/SEHK/2019/0604/LTN201906041646.pdf" target="_blank" rel="noopener">Cooperation Intent Agreement</a> with China Hua Neng Group (a subsidiary of SOE China Huaneng Group) to sell 51% of GNE, the completion of which would trigger an unconditional MGO for GNE.</p>
<p>Since then, there have been the standard regulatory monthly updates, the last issued on the <a href="https://www1.hkexnews.hk/listedco/listconews/sehk/2019/0805/ltn201908051032.pdf" target="_blank" rel="noopener">5 August</a>, which mentioned China Hua Neng Group had completed its preliminary due diligence on GNE and that negotiations were continuing.</p>
<p>The new development is the transfer of 20% of shares out, or 3.8bn shares, in GNE from HSBC to Get Nice Securities yesterday. This is part of GCL's stake. It's not the full 51% attached to the June agreement, but it is the single largest share movement in GNE since GCL's stake moved into CCASS in May 2015.</p>
<p>The stake in GNE is worth 52% of GCL's market cap and the implied stub is at an all-time low. But there are question marks on the earnings of the unlisted stub ops. </p>
