Established in 2013, Deliveroo is getting ready to complete its IPO on the London Stock Exchange in the next several weeks. Backed by <a href="https://www.smartkarma.com/entities/amazon-com-inc" target="_blank" data-smartkarma-citation="entities:409:1" rel="noopener">Amazon.com Inc (AMZN US)</a>, Deliveroo is one of the largest food delivery service companies in the U.K. Amazon owns a 16% stake in Deliveroo. The Deliveroo IPO is expected to be one of the biggest IPOs in the U.K. this year. It has been reported that the market that the company's market cap post IPO could be nearly <a href="https://edition.cnn.com/2021/03/08/investing/deliveroo-ipo-london/index.html" target="_blank" rel="noopener">$7 billion to $10 billion. </a>Deliveroo processed £4.1 billion ($5.7 billion) in total transactions on its platform in 2020, up 64% YoY. Adjusted EBITDA/GTV ratio improved significantly from -122.7% in 2019 to -2.7% in 2020. <div class="content-highlight">Comparison With DoorDash's Market Cap/GOV and Deliveroo's Implied Market Cap - DoorDash currently has a market cap of $43.7 billion. DoorDash had total marketplace GOV (gross order value) of $24.7 billion. If we divide market cap/GOV, this results in a ratio of 1.8x. If we use this multiple (1.8x) and apply it to Deliveroo's total gross transactional value of £4.1 billion ($5.7 billion), this results in an implied market cap of $10 billion for Deliveroo. </div>

It has been a roller-coaster week for Vision Fund performance with Coupang pricing its IPO at a premium to already heady valuations whilst at the opposite end of the spectrum fintech investee Greensill has completed a rather quick move to insolvency. Markets seems to have taken both in stride as Softbank shares continues to hover above the ¥10,000 level whilst the corresponding discount to underlying public values remains at c. 20%. Since Softbank reported Q3 results, tech shares in the US have weakened and Vision Fund portfolio companies are down 14%/$7bn. Whilst expectations of further IPOs (Grab and or Didi) are supportive, share price performance will rely heavily on US tech sentiment going forward. HighlightsCoupang has reportedly priced its IPO at $35, which is well ahead of our fair value but not surprising in a frothy market. Coupang’s recent growth acceleration and move towards profitability make the stock attractive despite the premium valuation. The reported price implies a 3.1x EV/FY21e sales which is much higher than a direct peer group that includes Amazon (2.8x sales).Greensill has collapsed with Vision Fund exposure of up to $2bn. That is a lot of money but Coupang upside will outshine the impact on Vision Fund performance when quarterly numbers come out. What is worrisome is that this marks the second time a Softbank-backed financial firm has failed following Wirecard last summer. In addition, Greensill reportedly provided funding to four or five Vision Fund companies (Katerra, Oyo, View, Fair, Guazi) and without any disclosure it is not known whether Greensill’s demise would have a knock-on effect.Vision Fund’s public portfolio is down 14% since Q3 results. The volatility in tech valuations in the US has had an impact on Vision Fund’s public portfolio which is down 14% (or $6.9bn) since 9 February led by a 28% decline in DoorDash and a 19% decline in Beike (in VF 2).  That excludes any losses that may come at the cash management subsidiary Northstar which had $22bn invested in liquid tech assets at the end of Dec. AT Q3 results, Softbank said a $1bn loss at the end of the quarter had inverted to a c. $1bn gain by 9 February and that easily could have inflected again.

<a target="_blank"></a>Coupang is by far the leader in one of the most compelling markets for eCommerce globally and one of the most attractive of the Vision Fund portfolio companies. But it is expensive: the $30 max offer price implies a 5x appreciation in value from its last private funding round in 2018 and a FY21 EV/sales multiple of 2.6x almost on par with Amazon which is a global leader in both eCommerce and cloud.  We value Coupang below the range at $26 using a 9-year DCF driven by 17% revenue CAGR and an 8% terminal OP margin.    This report includes our initial forecasts, valuation, a summary of the investment highlights and a list of questions we would ask on the roadshow.<h2>Highlights</h2>Coupang dominates a very attractive eCommerce market.  Korea scores high on two measures of eCommerce predictive success, Internet penetration and population density and Coupang is by-far the leading provider. It helps that global competition has been unable to gain traction whilst traditional retailers are smaller scale relative to other markets.eCommerce demand has accelerated as Covid-19 accelerates augments a secular shift in retail sales to online platforms.  Revenue growth expanded from 71% in Q4 19 to 100% in Q4 20 but expanding growth was a feature through 2019 as well. eCommerce penetration of c. 25% may have nearly doubled in FY20 although some of that demand shift may revert as the impact of Covid-19 fades.The company is flirting with profitability. Operating margins have moved from -30% in FY16 to -4% in FY20 with corresponding improvement in EBITDA (-30% to -3%).  In our model, we assume Coupang breaks even in FY21 although higher share-based compensation and/or higher spending as it puts IPO proceeds to work could extend that.But it is still burning a lot of cash.  Coupang might be close to break-even operationally but it has largely spent the money it received from <a href="https://www.smartkarma.com/entities/softbank-group-corp" target="_blank" data-smartkarma-citation="entities:315:1" rel="noopener">Softbank Group (9984 JP)</a>  in 2018. Over the last three years, $2.7bn has gone out the door including c. $800mn in FY20 alone (our measure of operating cash flow).Comparable valuations and relative changes to valuation highlight the premium valuation. <a href="https://www.smartkarma.com/entities/coupang" target="_blank" data-smartkarma-citation="entities:28425:1" rel="noopener">Coupang (CPNG US)</a>  max offer price values the company similarly to Amazon on FY21 EV/sales (2.7x v 2.8x) but the latter is a global leader and not just in eCommerce but cloud too. Similarly, Coupang’s value appreciation from its last private funding and March 2020 lows has outpaced peer group, sometimes significantly.
