<li>TKG Taekwang is offering ₩900/share, in cash, a 43.3% premium to last close. There is no minimum - all shares tendered will be acquired.</li>
<li>Optically, the Offer Price appears opportunistic. However, TKG Aikang has faced a downturn in the Korean construction market, coupled with rising raw material costs. EBITDA has recently turned negative. </li>

<li>TKG Aikang manufactures pipes for water supply, hot water supply, and heating for apartments and general housing. </li>
<li>Tender offer price is 900 won per share which is 43.3% higher than current price. The key negative of the company is its worsening profitability amid heightened industry competition. </li>
