<p><strong><em>*New IPO Disappoints Right Out Of Gate: </em></strong>Waterdrop (WDH.US) [Waterdrop] provides an online insurance marketplace and related medical crowdfunding platform in mainland China. Waterdrop  reported its first set of earnings results since its IPO, coming in at a negative CNY 370.2 bn for 1Q21, declining CNY 249.4 (206.6%) YOY largely given its higher costs from a channel (third party traffic) and product mix shift to long-term insurance. Both factors have caused operating costs to increase CNY 579.1 bn (75.7%) YOY  - far outpacing revenue growth of CNY 229.6 bn (35.1%) over the period; and  </p><p><strong><em>*All Is Not Lost…Yet: </em></strong>First year premium (FYP) did increase 42.7% YOY – led by costly third party FYP which increased 51.6%. Long-term critical illness insurance grew 132% off of a low base, but still well exceeding industry average. Anecdotally, management believes that competitive pressures appear to be abating and that increases in customer acquisition costs is now decelerating. In addition, Waterdrop continues to make progress with: Waterdrop Health; Waterdrop Medicine; and with outpatient services.</p>

<p>Didi Chuxing (Didi) is getting ready to complete its IPO in the coming weeks. The company claims to be the world's largest mobility technology platform in terms of annual active users and by average daily transactions for the 12 months ended March 2021. </p>
<p>Didi is the number player for shared mobility services in China including ride hailing, taxi hailing, chauffeur, hitch, and other forms of shared mobility. The company operates in 15 countries globally and its platform provides services to over 493 million active annual users and powered 41 million average daily transactions for 12 months ended March 31, 2021.</p>
<p><a href="https://www.ft.com/content/bb80e462-fbb9-49d1-8a87-b3ad511c1d4e" target="_blank" rel="noopener">Didi Chuxing</a> was last valued at $65 billion in a 2018 fund raising round. Major investors in Didi include Softbank which has invested more than $10 billion in this company. Softbank's Vision Funds own a 21.5% stake in Didi Chuxing, followed by <a href="https://www.smartkarma.com/entities/uber-technologies-inc" target="_blank" data-smartkarma-citation="entities:430:1" rel="noopener">Uber (UBER US)</a> with a 12.8% stake, and <a href="https://www.smartkarma.com/entities/tencent-holdings-ltd" target="_blank" data-smartkarma-citation="entities:26:1" rel="noopener">Tencent (700 HK)</a> which has a 6.8% stake. </p>
</div><p>The company's long term vision is to capitalize on AI and big data to power shared, electric, smart, and autonomous mobility networks. The company estimates the mobility service market was $6.7 trillion globally in 2020, which is expected to increase to $16.4 trillion in 2040. Shared mobility and electric vehicles penetration rates were 2% and 1%, respectively in 2020. Shared mobility and electric vehicles penetration rates are expected to reach 23.6% and 29.3%, respectively in 2040.</p>

On Friday, Bloomberg reported that China Securities Regulatory Commission’s (CSRC) was weighing tighter rules for Chinese companies listing overseas which could have an impact on upcoming large IPOs such as ByteDance and Didi Chuxing. 
However, shortly after, on the same day, CSRC came forward to deny it. While the rumor has been dispelled quickly, one should keep in mind that it wasn’t too long ago that the SEC tightened its restrictions on Chinese companies as it sought public comments for the Holding Foreign Companies Accountable Act (HFCAA). The push and pull factors that we highlighted in our China ADRs note last year seem to remain strong with both sides wanting to limit Chinese companies listing in the US.

In this note, we look at deal dynamics and provide an update on valuation.  


Waterdrop IPO Trading - Ant's Mutual Aid Admissions Showcase the Regulatory Overhang

<div>Our base case value of Waterdrop is $4.6 billion or $11 per share. This is essentially at the mid-point of the IPO valuation range. Given the limited upside, we would pass on this IPO deal.</div><div></div><div>Our valuation of $4.6 billion is based on EV/S multiple of 5.8x using our estimated sales of $670 million (4.3 billion RMB) in 2021. Our EV/S multiple of 5.8x is based on the median valuation multiple of our comparable companies in 2021. This valuation multiple is also close to the average EV/S multiple of 6.1x for the two China online insurance/healthcare related stocks including ZhongAn Online P&amp;C insurance and Ping An Good Doctor. According to our valuation sensitivity analysis, the IPO valuation ranges from $8.4 per share to $13.9 per share. </div><div></div><div>Given that the mutual aid platform has been one of the key generators of user traffic, discontinuing this operation would result in a major change in the company's business operations and its ability to generate sufficient sales and customers growth. As such, we believe this is a major risk factor for the company. </div>

Our base case value of Waterdrop is $4.6 billion or $11 per share. This is essentially at the mid-point of the IPO valuation range.
