<li>This deal is probably being done on the light side given peer transactions, but it is a smallcap and the part owner is staying in the capital structure. </li>
<li>This almost certainly gets done at terms. Crossholders get this past the minimum threshold.</li>
</ul>

<li>The TOB only needs 11+% to get to 50.1%. There are three holders who Senko clearly regard as not necessarily agreeable to the deal. They hold 28.0% between them. </li>
