<p><a href="https://www.smartkarma.com/entities/qualtrics-international-inc" target="_blank" data-smartkarma-citation="entities:27731:1" rel="noopener">Qualtrics (XM US)</a>, a US cloud software company, is aiming to complete its IPO again after two years. In November 2018, <a href="https://www.smartkarma.com/entities/sap-se" target="_blank" data-smartkarma-citation="entities:21704:1" rel="noopener">SAP SE (SAP GR)</a> acquired Qualtrics for $8 billion. SAP has now decided to spin-off Qualtrics and IPO this business. The initial IPO pricing ranges from $20 to $24 per share, which would value <a href="https://www.cnbc.com/2020/12/28/qualtrics-files-s-1-aims-for-valuation-of-up-to-14point4-billion-in-ipo.html" target="_blank" rel="noopener">Qualtrics</a> at $12 billion to $14.4 billion. The Qualtrics IPO is expected to be completed in January/February 2021.</p>
<p>After the IPO, SAP will maintain an 80% stake in Qualtrics. The private equity firm Silver Lake will be buying slightly more than 4% of the Qualtrics shares for $550 million (implying a valuation of $13.7 billion) and the Qualtrics founder Ryan Smith will be buying 1% for $120 million (implying a valuation of $12 billion).</p>

<p>As a reminder, we advocated buying Coupa around the bottom back in early April as it was a good entry point for a permanently expensive Adobe/ServiceNow like compounder (15x back then). We decided to step to the sidelines last quarter as the company didn’t offer much new disclosures around Pay and an oddly conservative guidance for this quarter….which not so shockingly they blew out. This quarters’ guidance for 4Q21 is equally conservative, and if you strip out its Llamasoft acquisition, you get the same sandbagged guidance as last quarter.</p><div class="content-highlight"><p>Obex’s fundamental research process is focused on secular change in the TMT and Consumer sectors. We seek to differentiate between fundamental business analysis and security analysis. Before deciding if a security’s pricing and positioning merit a long or short position, we analyze the four pillars of business fundamentals (Secular Factors, TAM, Competitive Advantage, Business Model) in order to determine if this is a “good” or “not so good” opportunity.</p></div>

Coupa 3Q21 Earnings: The Boy Who Cried Wolf

<p>Snowflake had a good quarter…it was a bit above expectations that were well telegraphed from the IPO, and their guidance was only inline (though likely conservative)….so what does one do with a stock that is the single richest multiple in the stock market (100x+ sales)? Buy a lot more? We can’t pretend to understand why this stock was up 16% today. And we can’t pretend to understand why the market values its revenues at 3x!!! the rest of high valuation software. We don’t short on valuation alone. But we certainly couldn’t justify owning Snowflake.</p><p><strong> </strong></p><div class="content-highlight"><p>Obex’s fundamental research process is focused on secular change in the TMT and Consumer sectors.
