1. Hynix Dividend Heavy Return Likely Friday: Square Outperformance Setup in Focus
- Hynix could announce KRW 100tn shareholder returns this week, with a 60:40 dividend buyback mix. Yeouido is increasingly positioning for this outcome.
- KRW 40tn buyback matches the ADR proceeds, with Hynix repurchasing below the issuance price. The broader package also creates a timely window to upstream excess cash to SK.
- Square looks set to outperform Hynix near term as the return mix reinforces the cash upstreaming narrative. A long Square, short Hynix or market setup looks compelling into the announcement.
2. Local Intel on Timing and Structure of Samsung’s Return Package
- Local chatter now points to Samsung announcing shareholder returns as early as Friday, driven by government pressure and Hynix’s more aggressive buyback.
- Samsung is expected to split its 50% FCF return into two tranches: KRW 40-50T from late August, then roughly KRW 50T in early 2027, led by buybacks and special dividends.
- Samsung’s special dividend record date should remain September 30, with Q3 regular and special dividends likely approved together at the late October board meeting.
3. SK Hynix’s 40 Trillion Won Share Buyback and Cancellation – Trading Implications
- SK Hynix announced a major treasury shares repurchase and cancellation of about 40 trillion won ($29 billion), representing about 3.3% of outstanding shares.
- SK Hynix plans to return more than 50% of the cumulative free cash flow (FCF) generated during 2025-2027E to shareholders.
- In terms of trading implications in the next several weeks, this could positively boost SK Hynix’s share price back to about 2,200,000 won level (about 40-50% upside).

5. M3 (2413 JP) – Building Up After the Crash: Know Your ABCs (Activist, Buyback, Cash)
- M3 Inc (2413 JP) fell 85+% from 2021 highs to spring 2026 lows. We’re not that far off that level now. Earnings a week+ ago sent shares tumbling.
- The company is now trading just above 20x earnings with 15% CAGR targeted organic revenue growth over the next five years plus inorganic growth expected from M&A.
- M3 now has its ABCs. An Activist. A Buyback. And Cash. And it has growth at lower multiples than peers.
6. [Japan M&A] Baudroie (4413 JP) Board Decides a 1% Premium to Squeeze Out Minorities Is Good Enough
- This morning, Baudroie (4413 JP) and Bain Capital announced an MBO whereby the existing major executives and shareholders sell to Bain and then reinvest.
- The deal is at a 1% premium to last. The Board recommends minorities tender. the fair value model the Board looked at is faulty.
- But the execs/directors/optionholders/crossholders combination basically gets this deal past the two-thirds hurdle without anyone active tendering. If the GPIF tenders, it’s done. Not a great example of improved Japanese governance.
7. Baudroie (4413 JP): Bain-Sponsored MBO at a Nil-Premium Will Be Tough to Force a Bump
- Baudroie (4413 JP) has recommended a Bain-sponsored MBO at JPY2,970, a 1.0% premium to the undisturbed price of JPY2,942.
- While the offer is above the midpoint of the IFA DCF valuation range and attractive relative to peer multiples, it is 7.8% below the 3-month high of JPY3,220.
- A competing offer is unlikely, as the founding shareholders did not accept a fiduciary-out clause. The deal is tough to block because of the low minimum acceptance threshold.
8. Samsung Return: ₩27.5tn Special Dividend, No Immediate Cancellations Raise Memory Pivot Concerns
- Samsung sees KRW 90tn to KRW 110tn of 2026 shareholder returns, with around KRW 30tn in 3Q dividends and the balance decided in January 2027.
- Samsung’s KRW 110tn FCF payout ceiling looks likely, while the KRW 150tn view is too aggressive. The KRW 27.5tn special dividend is more dividend heavy than expected.
- No cancellation focused buyback was announced, signaling limited confidence in memory pricing. With returns heavily dividend skewed, the near term Samsung downside looks hard to avoid.
